1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and Statement Analytics, LLC, a Texas limited liability company doing business as Statement Analytics ("Statement Analytics," "Company," "we," "us," or "our"). By accessing, registering for, or using our website, mobile application, or any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

The "Service" means the automated, technology-enabled platform operated by Statement Analytics through which users may access investment performance auditing tools, fee analysis, and portfolio analytics for informational and educational purposes only.

2. Account Registration

4. Third-Party Account Access (Plaid)

4.1. Authorization

Statement Analytics uses Plaid Inc. ("Plaid") to securely connect your Linked Financial Accounts held at supported third-party financial institutions to your Statement Analytics Account. By using the Service to connect your financial accounts, you expressly authorize Statement Analytics and its third-party service providers, including but not limited to Plaid Inc., to access and retrieve information and data from your Linked Financial Accounts on your behalf solely to enable the automated financial data aggregation component of the Service, as defined in these Terms. You represent and warrant that you are the legal owner of the financial accounts you connect.

4.2. Limited Power of Attorney

You hereby grant Statement Analytics and Plaid a limited power of attorney, and appoint Statement Analytics and Plaid as your true and lawful attorney-in-fact and agent, solely for the limited purpose of accessing third-party financial institutions, retrieving Linked Financial Account information/data, and using such information/data only as necessary to provide the Service. This limited power of attorney is strictly confined to information/data access and retrieval and does not authorize Statement Analytics or Plaid to initiate transactions, transfer funds, modify account settings, or take any other action with respect to your Linked Financial Accounts beyond retrieving information/data required to perform the Service.

4.3. Credential Non-Storage

Statement Analytics does not have access to or store your online banking credentials. Your credentials are entered directly into the Plaid Link interface and are managed securely by Plaid, not by Statement Analytics. Your login credentials are entered directly into Plaid’s secure interface and are never stored by Statement Analytics.

4.4. Third-Party Aggregator Disclaimer

You acknowledge that Statement Analytics does not directly access your Linked Financial Account. You acknowledge that your Linked Financial Account is accessed and retrieved by Plaid Inc. ("Plaid"), a third-party data aggregation service, which provides such data to Statement Analytics for use in connection with the Service.

YOU AGREE TO YOUR PERSONAL AND FINANCIAL INFORMATION BEING TRANSFERRED, STORED, RETRIEVED, AND PROCESSED BY PLAID IN ACCORDANCE WITH THE PLAID END USER PRIVACY POLICY. STATEMENT ANALYTICS IS NOT RESPONSIBLE FOR THE ACCURACY, TIMELINESS, OR COMPLETENESS OF INFORMATION AND/OR DATA RETRIEVED BY PLAID, NOR FOR ANY ERRORS, INTERRUPTIONS, OR SECURITY BREACHES ATTRIBUTABLE TO PLAID OR YOUR FINANCIAL INSTITUTION.

4.5. Plaid Terms

By using Plaid to connect your accounts, you also agree to Plaid’s terms of service and privacy policy. For additional information on how Plaid manages your privacy rights, please review the Plaid End User Privacy Policy at: https://plaid.com/legal/#end-user-privacy-policy

4.6. Disconnecting Accounts

You may disconnect linked accounts at any time by:

Disconnecting an account will stop future data retrieval but will not automatically delete previously retrieved data. To delete all data, please contact us.

5. Document Upload and AI Analysis

5.1. Document Ownership Representation

By uploading documents to the Service, you represent and warrant that: (a) you are the legal owner of the Linked Financial Account in the documents; (b) the documents are authentic, complete, and have not been altered or manipulated; and (c) your upload and use of the Service in connection with such documents does not violate any law or regulation, or infringe on the rights of third-parties.

5.2. AI-Assisted Analysis Notice

This analysis uses Artificial Intelligence (AI) and Optical Character Recognition (OCR) technologies (collectively, "AI Technologies") to extract, process, and analyze data from the documents you upload. Although we use commercially reasonable efforts to provide accurate analysis, AI Technologies are probabilistic and may produce errors, omissions, or misinterpretations.

STATEMENT ANALYTICS DOES NOT GUARANTEE THE ACCURACY OF ANY DATA EXTRACTED VIA AI TECHNOLOGIES.

You are responsible for reviewing and verifying all extracted data and analysis against your original statements before relying on the analysis and making any financial or investment decisions based on them.

6. Advisor Grade and Reports

6.1. Understanding Your Advisor Grade

The Advisor Grade (A-F) represents Statement Analytics’ analytical opinion, generated using a proprietary, rules-based algorithmic methodology. It is not a statement of fact and does not reflect any determination regarding an advisor’s professional competence, ethical standing, licensing status, or regulatory compliance.

This grade is derived and calculated solely from fees charged and investment returns reflected in the data provided, and measured against standard market benchmarks. Different analytical methods, assumptions, or benchmarks may produce materially different results.

This grade does not account for your unique financial circumstances, risk tolerance, estate planning needs, or other non-investment services your advisor may provide, and should not be relied upon as a recommendation to retain or terminate any advisor.

6.2. No Investment Advice

IMPORTANT: This analysis is provided for informational and educational purposes only. Statement Analytics is not an investment adviser, broker-dealer, or fiduciary, and does not provide investment, financial, or advisory recommendations.

No output from the Service, including any report, score, or advisor grade, constitutes a recommendation or solicitation to buy, sell, or hold any security, or to retain or terminate a financial advisor. All outputs reflect analytical assessments based on historical data and standardized benchmarks and do not predict future performance.

You should consult with qualified, licensed financial professionals before making any investment decisions or changes to your financial plans, investment portfolio or advisory relationships.

6.3. Report Disclaimer

Reports generated by Statement Analytics use proprietary, rules-based algorithms. The analysis reflects historical performance data derived from the information and data provided and does not predict future results. Past performance is not indicative of future returns. Statement Analytics does not assess the suitability of any investment, strategy, or advisor for your specific financial situation. For personalized financial advice, consult a licensed professional.

7. Subscription and Payment Terms

7.1. Service Tiers

Payments are processed securely by Stripe. Statement Analytics does not store your full credit card number. By providing your payment information, you authorize Statement Analytics to charge your payment method now and on each applicable renewal date for the subscription fee and any applicable taxes, under the subscription terms disclosed herein.

Payment processing is provided by Stripe. Stripe collects and processes your payment information under the Stripe Connected Account Agreement (https://stripe.com/legal/connect-account) and the Stripe Services Agreement (https://stripe.com/legal). By providing your payment information, you acknowledge Stripe’s role as the payment processor for your transaction with Statement Analytics.

7.3. Automatic Renewal

By purchasing an Annual Subscription, you expressly authorize Statement Analytics to automatically charge your selected payment method $249, plus any applicable taxes, on a recurring annual basis until you cancel. Statement Analytics reserves the right to increase the subscription fee in its sole discretion with proper notice to you by posting to the website and these Terms. You agree and acknowledge that your subscription is continuous and will renew automatically each year unless cancelled before the applicable renewal date. You are responsible for ensuring that your selected payment method is up to date in your Account Settings on your Statement Analytics Account.

7.4. Renewal Notification

You will receive an email reminder at least fifteen (15) days before your annual renewal date. The reminder will include the renewal date, the amount to be charged, and instructions for how to cancel your subscription before renewal.

7.5. Cancellation Policy

You may cancel your subscription at any time via your Account Settings dashboard on your Statement Analytics Account.

WE PROVIDE A SIMPLE, ONLINE CANCELLATION MECHANISM; YOU ARE NOT REQUIRED TO CALL CUSTOMER SUPPORT OR SPEAK TO A REPRESENTATIVE TO CANCEL.

Cancellation will be effective at the end of your current billing cycle. Upon cancellation, you will continue to have access to the Service through the end of your paid subscription term, and no further charges will be applied unless you choose to resubscribe. At the conclusion of your paid subscription term, all access to your Statement Analytics Account will cease.

7.6. Refund Policy

Due to the immediate delivery of our proprietary Analysis Reports, all fees are non-refundable once a Report has been generated and made available to you, except as required by applicable law.

If a technical error attributable to Statement Analytics prevents a Report from being generated or accessed, you must contact support@statementanalytics.com within seven (7) days of purchase so that we may investigate the issue and, at our discretion, provide a reasonable remedy, which may include, but not limited to, regenerating the Report or issuing a refund if the issue cannot be resolved.

7.7. Failed Payments

If a payment fails, we will attempt to process the payment again and notify you of the failure. If payment cannot be processed after multiple attempts, we may suspend or terminate your access to the Service. You remain responsible for any outstanding amounts.

8. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

You agree to use the Service and Reports solely for your personal or internal, non-commercial informational purposes. You agree not to use the Reports, Grades, or data generated by the Service for the purpose of harassment, commercial disparagement, public defamation, or any unlawful activity.

To the fullest extent permitted by law, Statement Analytics disclaims responsibility and liability for any public dissemination of the Grades, Reports, or outputs by you, including any claims arising from such dissemination.

9. Intellectual Property

9.1. Ownership

The Service and its original content, features, functionality, and design are owned by Statement Analytics and are protected by copyright, trademark, and other intellectual property laws. "Statement Analytics," "Math, Not Marketing," and our logo are trademarks of Statement Analytics, LLC. You may not use these marks without our prior written permission.

9.2. Proprietary Methodology

The algorithms, calculation methodologies, benchmarking logic, code, and processes used to generate the Analysis Reports and Advisor Grades are the confidential and proprietary intellectual property of Statement Analytics. You agree not to: (a) reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service; (b) use the Service to build a competitive product or service; or (c) publish or disclose the specific mathematical formulas used by Statement Analytics without express written permission.

9.3. User Content

You may download or print copies of your own analysis reports for personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from any other content on the Service without our express written permission.

10. Warranty Disclaimers

10.1. "As Is" Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2. No Warranty of Accuracy

STATEMENT ANALYTICS DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OR CALCULATIONS PROVIDED BY THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

Performance calculations are based on the data you provide and data obtained through third-party services. We are not responsible for inaccuracies in source data. You should verify important calculations with your financial advisor or by reviewing your original statements.

10.3. Investment Disclaimer

THE SERVICE IS NOT INVESTMENT ADVICE. ANY PERFORMANCE CALCULATIONS, BENCHMARK COMPARISONS, ADVISOR GRADES, OR OTHER ANALYSIS PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE A RECOMMENDATION TO MAKE OR REFRAIN FROM MAKING ANY INVESTMENT DECISION OR TO RETAIN OR TERMINATE ANY FINANCIAL ADVISOR.

YOU ASSUME ALL RISK FOR ANY INVESTMENT DECISIONS YOU MAKE. STATEMENT ANALYTICS SHALL HAVE NO LIABILITY FOR ANY INVESTMENT LOSSES OR DECISIONS MADE BASED ON INFORMATION PROVIDED BY THE SERVICE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STATEMENT ANALYTICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THEIR POSSIBILITY, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

STATEMENT ANALYTICS SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES RESULTING FROM: (i) YOUR RELIANCE ON ANY OUTPUT FROM THE SERVICE; (ii) YOUR INVESTMENT OR FINANCIAL DECISIONS; (iii) ERRORS OR INACCURACIES IN THIRD-PARTY OR USER-PROVIDED DATA; OR (iv) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA (EXCEPT TO THE EXTENT PROHIBITED BY LAW).

IN NO EVENT SHALL STATEMENT ANALYTICS’ TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO STATEMENT ANALYTICS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Statement Analytics from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by JAMS under its JAMS Comprehensive Arbitration Rules and Procedures. Judgment on the arbitration award may be entered in any court having jurisdiction.

13.3 Class Action Waiver

YOU AND STATEMENT ANALYTICS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Equitable Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

14. General Provisions

14.1 Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

14.2 Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Effective Date" at the top. Your continued use of the Service after any modifications indicates your acceptance of the updated Terms.

14.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.
